1. Who We Are

Notum is operated by a registered Danish business entity:

The terms "Notum", "we", "our", and "us" refer to this entity. "You" refers to any individual or entity creating an account or accessing the service.

2. Eligibility and Account Registration

• Age Requirement: You must be at least 13 years old (or 16 in the European Union) to create an account. If you are under the age of majority in your jurisdiction, you must have the consent of a parent or legal guardian.
• Account Accuracy: You agree to provide accurate, current, and complete registration information and keep your email address updated.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

3. Acceptable Use Policy

You agree not to engage in any of the following prohibited activities:

• Violating applicable international, European, national, or local laws and regulations.
• Uploading, publishing, or sharing content that infringes any third party's intellectual property, trademark, copyright, privacy, or publicity rights.
• Attempting to probe, scan, test the vulnerability of, or breach any security or authentication measures.
• Using automated scrapers, bots, or scripts to collect data, extract flashcards, or circumvent rate limits without prior written authorization.
• Interfering with, disrupting, or imposing an unreasonable or disproportionately large load on our servers, networks, or infrastructure.
• Distributing viruses, malware, trojans, or harmful code via card media attachments or notes.

4. User Content & Intellectual Property Ownership

• Your Content: You retain 100% ownership and intellectual property rights over all flashcard decks, notes, LaTeX equations, code snippets, and media files you create, import, or upload to Notum.
• Operational License: You grant Notum a worldwide, non-exclusive, royalty-free license to host, store, replicate, format, and transmit your content solely for the purpose of delivering, syncing, and maintaining the service for you.
• Public Community Gallery: If you voluntarily publish a deck to the public Community Gallery, you grant other Notum users a non-exclusive license to view, study, and clone that deck for personal educational use. You can unpublish or delete your public decks at any time.
• Notum Intellectual Property: The Notum application, user interface, brand assets, vector graphics, concept graph visualizations, and custom software code remain the exclusive intellectual property of Notum.

5. Subscriptions, Billing, and Renewals

• Plans & Pricing: Notum provides Free, Pro, and Premium tiers. Current listed prices for Premium are €4.99 EUR/month (monthly billing) or €47.90 EUR/year (annual billing). All applicable taxes and VAT are calculated at checkout.
• Payment Processing: Payments are processed securely via Stripe. You authorize Notum and Stripe to charge your designated payment method for all subscription fees as they become due.
• Automatic Renewal: Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time via your Account Settings. Upon cancellation, your premium features remain active until the conclusion of the current prepaid billing period, after which your account reverts to the Free tier without losing your decks.

6. EU Consumer Right of Withdrawal & Waiver

Under the European Union Consumer Rights Directive (Directive 2011/83/EU), consumers residing in the EU/EEA normally have a 14-day statutory right of withdrawal from distance contracts.

For digital services and instant subscription access: By completing your subscription checkout and requesting immediate access to Pro or Premium digital features, you provide your express consent to immediate contract performance and acknowledge that you lose your 14-day right of withdrawal once digital service delivery begins.

7. Service Availability, Uptime, and Updates

We strive to maintain maximum reliability and uptime. However, Notum is provided on an "as is" and "as available" basis. We reserve the right to perform necessary server maintenance, deploy software upgrades, and enhance or modify features over time. We are not liable for transient network disruptions or third-party infrastructure outages.

8. Account Termination & Suspension

• By You: You may terminate your account at any time via the Account Settings ("Danger Zone"). All associated decks, review history, and media attachments will be permanently deleted in accordance with our Privacy Policy.
• By Notum: We reserve the right to suspend or terminate accounts that materially violate these Terms, engage in fraudulent payment activity, or pose security risks to other users.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Notum disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Notum and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or study records. In no event shall our total aggregate liability exceed the greater of €50 EUR or the total amount paid by you to Notum during the 12 months preceding the claim.

11. Non-Waivable Consumer Protections

Nothing in these Terms shall limit or exclude any statutory consumer rights that cannot be waived under mandatory local laws (including mandatory EU, UK, and national consumer protection legislation).

12. Governing Law, Jurisdiction & Dispute Resolution

These Terms and any disputes arising out of or related to your use of Notum shall be governed by and construed in accordance with the laws of the Kingdom of Denmark, excluding conflict-of-law principles.

Any legal action or proceeding shall be brought before the competent courts of Denmark, without prejudice to mandatory statutory consumer forum rights allowing consumers to initiate proceedings in their country of residence.
